NAME
The name of the organisation shall be Tarporley Business Alliance (referred to herein as "The Alliance")

AIMS
The objects of The Alliance shall be: (a) Raise and promote the image of Tarporley for the benefit of businesses, residents, workers and visitors. (b) Increase the appeal of Tarporley to visitors, and hence their numbers. (c) Increase the spend per visitor to Tarporley. (d) Make Tarporley a more attractive and enjoyable place to work, live, visit and shop. (e) Improve business's understanding of residents' and visitors' needs and expectations. (f) Improve business, residents and visitors' knowledge of the products and services available locally. (g) Increase the proportion of local residents' spend in Tarporley. (h) Provide a voice and face for businesses to the councils, public services, the press and public, and any other relevant bodies. (i) Act as a central source and store of information of use to businesses and carry out investigations and research. The Alliance shall be non-party in politics and non-sectarian in religion

POWERS
To further these aims the Management Committee shall have power to: (a) Obtain, collect and receive money or funds by way of contributions, donations, grants and any other lawful method towards the aims of The Alliance. (b) Do all such lawful things as will further the aims of The Alliance (c) Write, print or publish, in whatever form, such papers, books, pamphlets of other documents as shall further its objects and to issue or circulate the same whether for payment or otherwise (d) Raise funds and invite or receive donations and contributions whether by subscription or otherwise (e) Receive money on deposit or loan

MEMBERSHIP
(a) Voting membership (one vote per business) shall be open to businesses based in Tarporley, Bunbury, Willington, Eaton, Duddon, Little Budworth, Beeston, Tiverton, Rushton, and villages in between for a fee of £52 per year - £1 per week - payable in advance. After a first review at six months, the fee to be annually reviewed by The Management Committee. (b) Associate membership will be open to businesses based beyond the defined area - but with a demonstrable interest in business in Tarporley - for a fee of £104 per year payable in advance at the discretion of the Management Committee. They will not, however, have voting rights. After a first review at six months, the fee to be annually reviewed by The Management Committee. (c) The Management Committee shall have the power to terminate the membership of any member for violation of this constitution, or for non payment of fees and for actions or publications by its management or employees considered by it to be detrimental to the furtherment of The Alliance. The member shall have the right to be heard by the committee before a final decision is made. Any fees paid for the year will be retained by The Alliance. (d) Each member organisation shall appoint one person being a member or employee thereof to represent and vote on its behalf at meetings and may appoint an alternate if required

MANAGEMENT
(a) A Management Committee elected annually at the Annual General Meeting shall manage The Alliance. The committee shall consist of a chair, secretary, treasurer and six - or one tenth of the membership, which ever is the lesser - other voting members. One of the members will be designated deputy chair. (b) The committee may co-opt up to a further two voting members who shall resign at the next Annual General Meeting. (c) The committee shall meet at least four times each year. (d) The quorum shall be 50% of the committee being present to enable the business of The Alliance to be carried out. (e) A proper record of all transactions and meetings shall be kept.

GENERAL MEETINGS
(a) An Annual General Meeting shall be held within 6 months of the date of the adoption of this constitution and every 12 months thereafter. (b) Notices of the AGM shall be published three weeks beforehand in local press, notice-boards, websites etc as appropriate. A report on The Alliance's financial position for the previous year will be made available at the meeting. (c) A Special General Meeting may be called at any time at the request of the committee, or not less than one quarter of the membership. A notice explaining the place, date, time and reason shall be sent to all members three weeks beforehand. (d) 50% of membership or six members being present, whichever is the greater, shall enable a General Meeting to take place. (e) Proposals to change the constitution must be given in writing to the secretary at least 28 days before a general meeting and approved by a two thirds majority of those present and voting.

ACCOUNTS
(a) The funds of The Alliance including all donations, contributions and bequests, shall be paid into an account(s) operated by the management committee. All cheques drawn on the account must be signed by at least two members of the Management Committee. (b) The funds belonging to The Alliance shall be applied only to further the aims of The Alliance. (c) A current record of all income, funding and expenditure will be kept. (d) A detailed account of income and expenditure shall be presented by the treasurer at the AGM.

INDEMNITY
In the execution of the objects hereof no member of the Management Committee shall be liable for any loss suffered by The Alliance for any mistake or omission made in good faith other than willful and individual fraud, wrongdoing or wrongful omission

DISSOLUTION
(a) The Alliance may be dissolved by a resolution passed by a simple two-thirds majority of those present and voting at a Special General Meeting.
(b) If confirmed, the committee shall distribute any assets remaining after the payment of all bills to a Tarporley based charity -The Rotary Club of Tarporley - for onward charitable distribution.
